Terms of Use

These Terms of Use apply to the GroundState Labs website and to purchases and subscriptions made through GroundState Labs, including payments processed for Enfacta and LociLaw. Additional product-specific terms may also apply when you install, access or use a GroundState Labs product.

1. About us

GroundState Labs Pty Ltd (ACN 352 128 262) is based in Sydney, Australia. References to “GroundState Labs”, “we”, “us” or “our” mean GroundState Labs Pty Ltd.

2. Using this website

You may use this website for lawful purposes and to learn about GroundState Labs and our products. You must not misuse the website, attempt to interfere with its operation, access areas you are not authorised to access, or use the website in a way that infringes another person’s rights.

3. Product information

We aim to keep information about our products accurate and current, but product features, availability, pricing and technical requirements may change over time. Information on this website is general information and does not form part of a product licence or service agreement unless expressly stated.

4. No professional advice

Content on this website is not legal, financial, educational, technical or other professional advice. Our products may assist professionals with their work, but users remain responsible for their own professional judgement, decisions and review of outputs.

5. Product use and licence

Where you purchase, access or use a GroundState Labs product, including Enfacta or LociLaw, we grant you a limited, non-exclusive, non-transferable right to use the product in accordance with your subscription, licence, seat allocation and any product-specific terms that apply.

You must not copy, resell, sublicense, reverse engineer, decompile, attempt to derive source code from, or otherwise misuse the product except to the extent expressly permitted by law.

You are responsible for keeping account credentials, activation codes, Team codes and other access details secure, and for ensuring they are only used by authorised users. Seat, device and account limits shown at purchase or within the product form part of your permitted use.

6. Your information and professional responsibility

You are responsible for ensuring that you have the right and authority to provide, process or use any information you make available to a GroundState Labs product.

Our products are tools designed to assist professional work. They do not replace professional judgement, and you remain responsible for reviewing outputs and deciding whether they are appropriate for the relevant educational, legal or other professional context.

Outputs may be incomplete, inaccurate or unsuitable for a particular purpose. You should independently review important outputs before relying on them in a way that could affect another person, a legal matter, a professional decision or a significant business outcome.

7. Acceptable use

You must not use our products or services unlawfully, to infringe another person's rights, to compromise security, to introduce malicious code, to interfere with the service, or to attempt to gain unauthorised access to systems, accounts or data.

We may suspend or restrict access where reasonably necessary to protect users, systems or data, to respond to suspected misuse, or where fees remain unpaid after any applicable grace period.

8. Product changes and availability

We may update, improve, replace or change product features over time. We may also release security, compatibility or maintenance updates that affect how a product operates. We do not guarantee that every feature will remain unchanged indefinitely.

Where product-specific terms conflict with these general Terms, the product-specific terms will apply to that product to the extent of the inconsistency.

9. Intellectual property

Unless otherwise stated, the website, branding, text, graphics, software descriptions and other content are owned by or licensed to GroundState Labs. You may view and use website content for your own internal or personal purposes, but you may not reproduce, republish, sell or commercially exploit it without permission.

10. Billing, subscriptions and payments

Where you purchase a paid GroundState Labs product or subscription, you agree to pay the fees shown at the time of purchase, together with any applicable taxes. Prices may be stated on a monthly, annual or other recurring basis depending on the plan you select.

Payments are processed by Stripe or another payment provider we identify at checkout. GroundState Labs does not receive or store your full payment card number. Payment information is handled by the payment provider in accordance with its own terms and privacy practices.

Unless otherwise stated at checkout, recurring subscriptions renew automatically for the same billing period until cancelled. You authorise the applicable payment provider to charge the payment method associated with your account for each renewal.

You may cancel a recurring subscription through the billing or account-management options made available to you, or by contacting us. Cancellation stops future renewals but does not ordinarily provide a refund for a billing period that has already commenced, except where required by law or expressly stated otherwise.

If a payment fails, is reversed, disputed or remains unpaid, we may retry the charge, suspend paid access, or cancel the relevant subscription after any applicable grace period. We may also change subscription prices from time to time, with notice where required by law or where the change affects an existing recurring subscription.

11. Third-party websites and services

Our website may link to third-party websites or services. Those services are controlled by their respective providers, and their own terms and privacy practices apply. We are not responsible for third-party content or availability.

12. Availability and liability

We do not guarantee that this website will always be available, uninterrupted or error-free. To the extent permitted by law, we exclude liability for loss arising from reliance on website content or from the unavailability or misuse of this website.

Nothing in these Terms excludes rights or remedies that cannot lawfully be excluded, including rights that may apply under the Australian Consumer Law.

13. Changes

We may update this website and these Terms from time to time. The version published on this page applies from the date shown above.

14. Governing law

These Terms are governed by the laws of New South Wales, Australia. You submit to the non-exclusive jurisdiction of the courts of New South Wales and courts entitled to hear appeals from them.
